Terms and Conditions

The free tier provides limited access to the Service, including processing of limited files per conversion session with a combined file size limit.

Premium subscribers receive unlimited file conversions, a larger file size limit, email support, and other premium features.

All payments are processed securely through our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis until you cancel your subscription. All fees are stated in U.S. dollars unless otherwise specified.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

Your first paid purchase may be eligible for a full refund within 14 days of purchase under our Refund Policy. Subscription renewals are generally non-refundable once billed. If you cancel your subscription, you will retain access to Premium features until the end of your current billing period.

We reserve the right to modify subscription pricing at any time. Price changes will take effect at the start of your next billing cycle, and we will provide advance notice of any price increases.

The Service, including its design, features, functionality, and all associated intellectual property rights, is owned by Files2.ai. These Terms do not grant you any rights to use our trademarks, logos, or other brand features.

You retain all ownership rights in the files and content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive license to process, analyze, and convert Your Content solely for the purpose of providing the Service to you.

Where technically feasible, the Service processes Your Content locally on your device. This means your files may not be transmitted to our servers for certain operations. For operations requiring server-side processing, Your Content is processed transiently and is not stored beyond the duration necessary to complete the requested operation unless you choose to save it to your account.

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

We implement reasonable technical and organizational measures to protect Your Content and personal information. However, no method of transmission over the Internet or electronic storage is completely secure, and we cannot guarantee absolute security.

Files are not uploaded to our servers. All converted files stay on the client's computer.

Where applicable law grants data-subject rights (including GDPR/UK GDPR), you may submit access, deletion, correction, portability, objection, or restriction requests through account settings or by contacting privacy@files2.ai. We aim to respond within 30 days, subject to lawful extensions.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that file conversions or document analysis will be error-free, complete, or accurate. You are responsible for reviewing and verifying all output generated by the Service.

We do not guarantee that the Service will be available at all times or that it will be uninterrupted or error-free. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

The Service may enable you to process files containing third-party content. We are not responsible for and do not endorse any third-party content processed through the Service.

Before filing any formal legal claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration conducted in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Files2.ai regarding the Service and supersede all prior agreements and understandings.

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
